Payment Terms and Subscription Agreement

Effective Date: January 1, 2025

Please read this Payment Terms and Subscription Agreement ("Payment Terms") carefully before completing your purchase or modifying your subscription. By checking the acceptance box and proceeding with your transaction, you ("Member," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Payment Terms, as well as the Terms of Use and Privacy Policy, each of which is incorporated herein by reference.

1. Membership Plans and Billing Cycles

1.1 Recurring Subscription: Your membership is offered on a recurring subscription basis (monthly or annually, as selected by you). By enrolling in a membership plan, you authorize Industrial Web Search ("we," "us," or "our") to charge your chosen payment method for the applicable subscription fees at the recurring intervals indicated at checkout.

1.2 Payment Method: You must provide a valid and up-to-date payment method (e.g., a credit card) at the time of purchase. You represent and warrant that you are authorized to use the chosen payment method and that all payment information provided is accurate and complete. 

2. Authorization and Automatic Renewal

2.1 Automatic Renewal: Unless canceled as described below, your membership will automatically renew at the end of each billing cycle at the then-current rate for your chosen membership plan.

2.2 Billing Date: Your billing date will be determined by the date you initially sign up for a membership or modify your membership plan. If your payment method cannot be charged on your designated billing date, we reserve the right to suspend or terminate your access until payment is successfully processed.

3. Upgrades and Downgrades

3.1 Upgrades:

If you upgrade to a higher-tier membership level before your current term ends, the upgrade will take effect immediately.

We will credit the unused portion of your lower-tier membership fee and charge for the new plan selected at its current price.

Your new billing cycle and renewal date will reset based on the date of your upgrade.

3.2 Downgrades:

If you choose to downgrade to a lower-tier membership level, you will continue to receive the benefits of your current higher-tier membership until the end of your current billing cycle.

No refunds or prorations will be provided for the downgrade. Instead, the new, lower-tier rate will take effect at the start of your next renewal period.

Example: If you are on an annual Level 2 plan starting January 1, 2025, and you downgrade to Level 1 on January 10, 2025, you will continue enjoying Level 2 benefits until December 31, 2025. On January 1, 2026, your membership will renew at the Level 1 rate.

4. Cancellations

4.1 Member-Initiated Cancellation:

You may cancel your membership at any time through your account settings or by contacting us.

If you cancel your membership, you will retain access to your current membership features until the end of the current billing cycle. After that, your access will terminate, and no additional charges will be incurred.

No refunds will be provided for any unused portion of the billing cycle upon cancellation.

4.2 Termination by Us:

We may suspend or terminate your membership for non-payment, fraudulent activity, violation of the Terms of Use, or any other reason allowed by law. If we terminate your membership, we will notify you at the email address on file.

5. Pricing and Changes

5.1 Price Adjustments: We reserve the right to change our subscription fees and charges at any time. Any price changes will take effect at the start of the next billing cycle following notice to you. We will notify you of any changes in advance, and you may cancel before the new rates take effect if you do not wish to continue.

5.2 Promotions and Discounts: Any promotional or discounted rates apply for the specified term only. After the promotional period ends, your subscription will renew at the then-current regular rate unless you change or cancel your membership.

6. Refunds

Except as expressly set forth herein or as required by applicable law, all fees and charges are nonrefundable. No credits or refunds will be provided for unused periods or partial months, including in the event of cancellation, downgrade, or termination.

7. Taxes

Subscription fees do not include applicable sales, use, value-added, or other taxes. Where required by law, we will collect and remit such taxes based on the information you provide. You are responsible for any applicable taxes that may be imposed on your subscription.

8. Disputes and Chargebacks

If you have any billing questions or disputes, please contact us promptly so that we may resolve the issue. Initiating a chargeback without first contacting us to attempt resolution may result in suspension or termination of your membership.

9. Changes to Payment Terms

We may update these Payment Terms from time to time to reflect changes in our business practices or applicable law. We will post the revised Payment Terms on our website and may notify you through your registered email address. Your continued use of the Services after the updated Payment Terms go into effect constitutes your acceptance of those changes.
